1. Scope of Services
What We Do: Xentique provides custom software solutions, mobile app development, full-stack web development, and digital services tailored to your needs.
Project Details: Exact requirements, timelines, costs, and deliverables will be clearly outlined in a dedicated contract or project agreement before work begins.
Scope Changes: If you want to add new features or change the project requirements after work starts, we will adjust the timeline and budget accordingly before proceeding.
2. Intellectual Property (IP) Rights
Client IP: Upon final payment receipt in full, all custom source code, design assets, and deliverable artifacts specifically developed for the Client transfer entirely to the Client.
Pre-Existing & Open-Source Software: Xentique retains ownership of pre-existing internal libraries, developer toolkits, starter templates, and general proprietary code. Open-source libraries (e.g., standard Flutter plugins, Python packages, Laravel dependencies) remain licensed under their respective open-source licenses (MIT, Apache, BSD, etc.).
Portfolio Showcase: We may showcase your completed project, company logo, and a brief case study on our website and social media as part of our portfolio. If you have a Non-Disclosure Agreement (NDA) with us or prefer to keep your project private, just let us know in advance and we won’t publish it.
3. Payment Terms & Invoicing
Milestone Payments: We divide projects into clear stages (such as an upfront deposit, feature development, beta testing, and final launch). Payment is made step-by-step as each milestone is completed.
Payment Due Date: Invoices must be paid within 14 days of being issued, unless a different timeline is agreed upon in your contract.
Overdue Payments: If an invoice is not paid on time, we reserve the right to temporarily pause ongoing development, server access, or test deployments until the payment is cleared.
4. Client Responsibilities & Collaboration
To maintain agreed deployment schedules, the Client agrees to:
Provide timely feedback, brand assets, API credentials, third-party licenses, and technical specifications within reasonable turnaround times.
Acknowledge that project launch delays resulting from unfulfilled client dependencies will automatically extend delivery estimates.
5. Third-Party Services & Infrastructure
Software solutions may require external infrastructure (e.g., AWS, Google Cloud Platform, Apple Developer Program, Google Play Console, payment gateways, or third-party APIs).
The Client is solely responsible for maintaining and paying for their own third-party accounts, cloud hosting bills, and store developer memberships.
Xentique is not liable for service interruptions, rate limits, policy changes, or downtime originating from third-party platforms.
6. Post-Launch Assurance & Maintenance
Free 30-Day Bug Support: We want you to feel confident after your product launches. That is why Xentique provides 30 days of free post-launch support to quickly fix any unexpected bugs, functional errors, or issues that do not match our original agreement.
Warranty Conditions: This guarantee applies to the original codebase delivered by our team. The free support does not cover issues caused by external code changes (made by your internal team or other developers), or sudden updates made by third-party platforms, operating systems, or browsers.
Long Term Maintenance: If you would like peace of mind with continuous updates, feature improvements, server monitoring, and priority technical support after the initial 30 days, we offer flexible, dedicated monthly maintenance plans tailored to your needs.
7.Data Privacy & Confidentiality
Data Protection: We treat your project details, business ideas, and user data with absolute confidentiality, following global data privacy standards.
Your Data Stays Yours: We never sell, scrape, share, or misuse your private source code, business records, or customer databases with any third party.
Strict Confidentiality: Both you and Xentique agree to protect all shared proprietary information and sensitive credentials throughout the project and after completion.
8. Limitation of Liability
To the fullest extent permitted by law, Xentique shall not be held liable for any indirect, incidental, punitive, or consequential damages, including loss of business profits, lost revenue, data leaks caused by third-party services, or operational downtime.
In any circumstance, Xentique’s maximum cumulative aggregate liability under any contract or claim shall not exceed the total amount actually paid by the Client to Xentique for that specific project.
9. Termination of Agreement
Either party may terminate a service agreement by providing written notice if the other party breaches any core obligations and fails to remedy the breach within 14 business days.
In the event of early termination, the Client remains legally liable to compensate Xentique for all billable hours, completed sprint deliverables, and resource allocations incurred up to the date of termination.
10. Governing Law & Dispute Resolution
These terms and conditions are governed by and construed in accordance with the applicable laws of Bangladesh (or the mutually agreed jurisdiction specified in your individual contract).
The parties agree to resolve any contractual disputes amicably through formal written negotiations before pursuing external arbitration.
